These Terms of Use govern your access to and use of the website located at news.codegotech.com (the "Site"), including all content, features, newsletters, and member functions made available through it. The Site is operated by Codego Group LTD, a company incorporated in Malta ("Codego Group", "we", "us", or "our"), under the editorial brand Codego Press. These Terms apply to every person who visits, reads, subscribes to, or otherwise interacts with the Site ("you" or "User"), regardless of the device or location from which you access it. By continuing to use the Site you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must leave the Site and cease all use immediately.

Section 01 — Publisher Identity and Scope

Codego Press is the editorial publication of Codego Group LTD, a limited liability company registered in Malta. The Site publishes journalism focused on fintech, banking, Banking-as-a-Service (BaaS), and related financial-technology topics. Content is produced and curated by an editorial team with the assistance of automated curation tools and is published in up to seven languages: English, Italian, Spanish, French, German, Arabic, and Turkish. Translations are provided for accessibility and convenience; in the event of any inconsistency between a translated version and the English version of any article or legal document, the English version shall prevail.

These Terms govern the entire relationship between you and Codego Group LTD in connection with the Site, including but not limited to: (a) your access to and browsing of editorial content; (b) your registration as a Member and use of member-only features, including comment participation and newsletter subscription; (c) your use of any interactive features, links, or third-party integrations made available through the Site; and (d) any communications you send to us via the Site or the contact addresses listed herein. These Terms do not govern any separate commercial relationship you may have with any other entity within the Codego Group; separate agreements apply to those relationships.

Section 02 — No Financial Advice; Editorial Disclaimer

All content published on the Site — including articles, analyses, opinion pieces, market commentary, interviews, data summaries, and any other editorial material — is provided for general informational and journalistic purposes only. Nothing published on the Site constitutes, or should be construed as, financial advice, investment advice, a personal recommendation, an offer to buy or sell any financial instrument or product, or any other form of regulated financial service or communication within the meaning of applicable law, including but not limited to the Markets in Financial Instruments Directive (MiFID II), the Investment Services Act (Chapter 370 of the Laws of Malta), or any equivalent legislation in any other jurisdiction.

Codego Press publishes editorial journalism. Our writers, editors, and contributors may express opinions, forecasts, or assessments of market developments. These are the personal or editorial views of the author at the time of writing and do not represent any form of guaranteed prediction or professional advice. Any action you take in reliance on content published on the Site is taken entirely at your own risk.

All original editorial content published on the Site — including articles, headlines, summaries, translations, photographs (where credited to Codego Press), graphics, logos, and the selection and arrangement of content — is the exclusive intellectual property of Codego Group LTD and is protected by copyright under the Copyright Act (Chapter 415 of the Laws of Malta), the Berne Convention, and all other applicable national and international intellectual property laws and treaties.

Permitted use. You may read, share links to, and quote brief extracts from articles published on the Site for the purposes of commentary, criticism, or news reporting, provided that: (a) the extract is no longer than is reasonably necessary for the stated purpose; (b) the source is clearly attributed as "Codego Press / news.codegotech.com"; and (c) a functioning hyperlink to the original article on the Site is included in any digital publication of the extract. This permission is consistent with the principles of fair dealing under applicable law and does not constitute a waiver of Codego Group LTD's rights in the underlying work.

Full reproduction. Reproducing, republishing, broadcasting, or redistributing any article or substantial portion thereof — in any medium, language, or format, whether for commercial or non-commercial purposes — without the prior written consent of Codego Group LTD is strictly prohibited. Third-party material. Where content published on the Site incorporates, references, or reproduces material sourced from third parties (including press releases, official statements, data providers, or news wire services), such material is attributed to its original source within the relevant article. Codego Group LTD does not claim ownership of third-party material. Any rights in third-party material remain with the respective rights holder, and any queries concerning such material should be directed to the original source.

Moral rights. Authors of original content published on the Site assert their moral rights in accordance with applicable law. Attribution must be preserved in any permitted quotation or reproduction.

Section 04 — Member Accounts

Certain features of the Site — including newsletter subscription and participation in the comments section — require you to register as a member ("Member") via the Site's membership platform, which is operated on Ghost CMS. Registration requires a valid e-mail address and, optionally, your name. By registering, you represent and warrant that: (a) all information you provide during registration is accurate, current, and complete; (b) you will promptly update your account information if it changes; (c) you are at least 16 years of age, or have obtained verifiable parental or guardian consent if younger, where applicable law permits; and (d) you are not registering on behalf of an entity for the purpose of commercial exploitation of member features.

Account security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised use of your account or any other security breach. Codego Group LTD shall not be liable for any loss or damage arising from your failure to maintain account security.

No commercial use of member features. Member accounts are provided for personal, non-commercial use only. You may not use your account, or any feature accessible through it, to promote products or services, to conduct commercial solicitations, to republish Site content systematically, or for any other commercial purpose, without our prior written consent.

Termination of membership. You may terminate your membership at any time by using the unsubscribe or account-deletion function available within the Site or by contacting [email protected]. We reserve the right to suspend or terminate any Member account at any time, with or without notice, in the event of a breach of these Terms, misuse of the Site, or for any other reason we consider necessary to protect the integrity of the Site or the rights of other users. Termination does not affect any rights or obligations that accrued prior to the termination date.

Section 05 — Comments Policy

Members who have registered and verified their e-mail address may post comments on articles using the Site's native comment functionality. By submitting a comment, you grant Codego Group LTD a non-exclusive, royalty-free, perpetual licence to display, moderate, edit, or remove that comment on the Site. You retain ownership of any original content you submit, subject to the licence granted herein.

Prohibited content. When posting comments, you must not submit content that: (a) is defamatory, libellous, or likely to cause unjustified harm to the reputation of any person or organisation; (b) constitutes harassment, bullying, intimidation, or hate speech on the basis of any protected characteristic; (c) is spam, unsolicited advertising, or a chain communication of any kind; (d) is off-topic or unrelated to the subject matter of the article on which you are commenting; (e) infringes the intellectual property rights of any third party; (f) contains personal data of third parties without their consent; (g) is unlawful, threatening, obscene, or otherwise objectionable under Maltese law or the law of the jurisdiction from which you are posting; or (h) impersonates any person, company, or entity.

Moderation. Codego Press reserves the right, but is not obliged, to moderate, edit, or remove any comment at any time, without prior notice and without giving reasons, where we reasonably consider that the comment breaches these Terms or is otherwise unsuitable for publication. Moderation decisions are final. We do not accept responsibility for comments posted by Members or third parties and expressly disclaim any liability in respect of comment content.

IP logging. For the purposes of abuse prevention and, where necessary, compliance with lawful requests from competent authorities, the IP address associated with each comment submission is logged and retained. This processing is necessary for the legitimate interests of Codego Group LTD and the protection of other users, in accordance with Article 6(1)(f) of the UK/EU General Data Protection Regulation. Further information is set out in our Privacy Policy.

Section 06 — Acceptable Use

By accessing the Site, you agree to use it only for lawful purposes and in a manner consistent with these Terms. In addition to any restrictions set out elsewhere in these Terms, the following conduct is expressly prohibited:

Automated access and scraping. You may not use any automated tool, script, bot, spider, crawler, or similar technology to access, index, scrape, copy, or harvest content from the Site, except to the extent expressly permitted by the Site's robots.txt file and applicable law. Access in excess of what is permitted by robots.txt constitutes unauthorised access and may constitute an offence under the Computer Misuse Act and equivalent Maltese legislation.

Automated republication. You may not use automated systems to aggregate, republish, syndicate, or mirror Site content — in whole or in part — on any other platform, website, application, or service, whether for commercial or non-commercial purposes, without our prior written consent.

AI training. You may not use any content published on the Site, in whole or in part, as training data for any artificial intelligence, machine learning, large language model, or similar system, without obtaining prior written consent from Codego Group LTD. This prohibition applies regardless of whether such use would otherwise be characterised as lawful under any applicable text and data mining exception.

Sanctions and compliance evasion. You may not use the Site or any content derived from it in connection with any activity that would violate applicable sanctions regimes, anti-money laundering laws, or other financial-crime compliance obligations, including but not limited to regulations administered by the Office of Financial Sanctions Implementation (OFSI), the EU's Common Foreign and Security Policy, or the United Nations Security Council.

Interference. You may not attempt to gain unauthorised access to any part of the Site's infrastructure, introduce malicious code, or take any action that could impair, overload, or disrupt the Site or its associated systems.

The Site contains hyperlinks to third-party websites, publications, data sources, and other external resources. These links are provided solely for the convenience of readers and to attribute sources referenced in our journalism. A hyperlink to a third-party website does not constitute an endorsement, sponsorship, or recommendation by Codego Group LTD of that website, its operator, or any content, product, or service available through it.

Codego Group LTD has no control over the content, availability, accuracy, or privacy practices of third-party websites and accepts no responsibility or liability for them. When you leave the Site by following an external link, you do so at your own risk and subject to the terms and conditions and privacy policy of the destination website. We encourage you to review the applicable terms and privacy information of any third-party site you visit.

Where articles published on the Site reference, summarise, or quote from third-party sources, those sources are attributed within the article. Such attribution does not imply that the source has endorsed Codego Press or that Codego Group LTD has verified the complete accuracy of the source material beyond what is stated in the relevant article.

Section 08 — Limitation of Liability

To the fullest extent permitted by applicable law, Codego Group LTD, its directors, officers, employees, contributors, and agents expressly disclaim all warranties, representations, and conditions of any kind, whether express, implied, or statutory, including but not limited to any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement, in relation to the Site and its content.

The Site and all content published on it are provided on an "as is" and "as available" basis. We do not warrant that: (a) the Site will be continuously available or free from errors, interruptions, or security vulnerabilities; (b) any article, analysis, or other content is accurate, complete, current, or suitable for any particular purpose; or (c) any opinion or forecast expressed on the Site will prove to be correct.

Cap on liability. To the maximum extent permitted by law, the total aggregate liability of Codego Group LTD to you — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — arising out of or in connection with your use of or inability to use the Site or its content shall not exceed zero euros (€0), it being acknowledged that the Site is provided free of charge and that no contractual payment passes between you and Codego Group LTD in connection with your use of the Site. Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

You expressly acknowledge and agree that any decision you make or action you take in reliance on any content published on the Site is made or taken entirely at your own risk. Codego Group LTD shall have no liability whatsoever for any financial loss, commercial loss, loss of profits, loss of data, or any indirect or consequential loss arising from such reliance.

Section 09 — Termination and Blocking

Codego Group LTD reserves the right, at its sole discretion and without prior notice or liability to you, to: (a) suspend, restrict, or terminate your access to the Site or any part of it; (b) suspend or delete your Member account; (c) remove, edit, or decline to publish any content you have submitted; and (d) take any technical or legal measures necessary to prevent access by any User who is found to be, or is reasonably suspected of, breaching these Terms or acting in a manner that is harmful to the Site, other Users, or third parties.

Grounds for termination or blocking include, without limitation: breach of any provision of these Terms; conduct that is unlawful, harmful, or abusive; fraudulent or deceptive activity; persistent submission of prohibited comment content; and use of the Site in a manner inconsistent with its editorial purpose. Termination of access does not affect any rights or claims that either party may have in respect of matters arising prior to termination. Provisions of these Terms that by their nature should survive termination — including Sections 02, 03, 06, 08, 10, and 11 — shall survive.

Section 10 — Changes to These Terms

Codego Group LTD reserves the right to amend or update these Terms at any time. Where changes are material, we will use reasonable endeavours to provide advance notice, which may take the form of a notice on the Site or a communication to registered Members. The date on which these Terms were last updated is stated in Section 12. Your continued use of the Site following the publication of updated Terms constitutes your acceptance of the amended Terms. If you do not accept an amendment, you must cease using the Site and, if applicable, terminate your Member account.

We also reserve the right to modify, suspend, or discontinue any aspect of the Site — including features, content categories, or language support — at any time and without notice, and shall not be liable to you for any such modification, suspension, or discontinuation.

Section 11 — Governing Law, Jurisdiction, and Severability

Governing law. These Terms and any dispute or claim arising out of or in connection with them — including non-contractual disputes and claims — shall be governed by and construed in accordance with the laws of Malta, without regard to any conflict of law principles that would require the application of the law of any other jurisdiction.

Jurisdiction. You irrevocably submit to the exclusive jurisdiction of the courts of Malta to settle any dispute or claim arising out of or in connection with these Terms or your use of the Site. If you are a consumer habitually resident in a jurisdiction that mandates the availability of local courts for consumer disputes, this clause does not deprive you of any right you may have under applicable mandatory consumer-protection law to bring proceedings in your local courts.

Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable in whole or in part, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If modification is not possible, the relevant provision shall be deemed deleted. Any modification or deletion shall not affect the validity and enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.

Entire agreement. These Terms, together with the Site's Privacy Policy and Cookie Policy, constitute the entire agreement between you and Codego Group LTD in connection with your use of the Site and supersede all prior representations, arrangements, understandings, and agreements relating to the same subject matter.

No waiver. A failure or delay by Codego Group LTD to exercise any right or remedy provided under these Terms or by law shall not constitute a waiver of that right or remedy, nor shall it prevent or restrict any further exercise of that or any other right or remedy.
